Stacie Nguyen

Stacie Nguyen focuses her practice on the corporate, securities, and regulatory representation of financial institutions, including public and private commercial banks, bank holding companies, and other participants in the banking industry. She advises clients, boards of directors, management teams, investor groups, and equity holders on a broad range of strategic corporate transactions and governance matters.

Ms. Nguyen's practice includes mergers, acquisitions, divestitures, and other strategic transactions involving public and privately held entities, including both buy-side and sell-side representations. She also advises on corporate restructuring transactions, equity offerings and other capital-raising activities, corporate governance matters, bank regulatory compliance, and securities law compliance.

In addition, Ms. Nguyen counsels financial institutions on public company reporting and compliance matters, including periodic reporting obligations, proxy statements, equity holder approvals, and other disclosure and governance issues. Her work includes advising clients on matters involving federal and state banking regulators, including the Federal Deposit Insurance Corporation, the Federal Reserve Board, the Office of the Comptroller of the Currency, and state regulatory agencies.

Ms. Nguyen works closely with boards of directors, senior management, and equity holders to help clients navigate complex transactional, regulatory, and corporate governance issues in a manner aligned with their strategic, business, and financial objectives. Prior to joining Fenimore Kay Harrison, Ms. Nguyen practiced with a large international law firm.
