About

Lexi Williams represents public and private commercial banks, holding companies and other financial institutions and their equity holders across a range of corporate, securities and regulatory matters. Ms. Williams regularly advises clients and their boards of directors, senior management and equity holders on strategic corporate transactions and issues, including:

· Mergers, acquisitions and divestitures of public and private entities;

· Corporate restructuring transactions;

· Securities offerings, including initial public offerings and public and private offerings of common equity, preferred equity and debt;

· Corporate governance, including entity formation, director and officer liability and equity holder approvals; and

· Public company reporting and compliance matters, including with respect to periodic reporting, Section 16 reporting and proxy statements.

In addition, Ms. Williams counsels financial institutions on regulatory compliance matters involving the Federal Deposit Insurance Corporation, the Federal Reserve Board, the Office of the Comptroller of the Currency and state regulatory agencies.

Prior to joining Fenimore Kay Harrison, Lexi was with a large international law firm.
