Lyn Clinton's practice focuses on advising financial institutions and their boards of directors regarding strategic corporate transactions, federal and state securities law matters, and regulatory compliance. Ms. Clinton has over 20 years of experience in advising community banks on a wide range of matters. Prior to entering the legal profession, Ms. Clinton worked as an accountant auditing the financial statements of community banks.

Ms. Clinton has represented financial institutions in numerous capital raise transactions, including the issuance of secured debt, subordinated debt, preferred stock, and common stock in public and private offerings. She also routinely advises clients on corporate and securities matters, mergers and acquisitions, "going private" transactions, reorganizations, tender offers, recapitalizations and proxy solicitations.

Ms. Clinton's M&A experience includes the representation of buyers and sellers in public and private mergers and acquisitions of financial institutions, including branch acquisitions and the sale of business units. She also advise public and private financial services companies regarding reporting and compliance obligations under federal and state securities laws and regulations, including periodic reporting, insider trading issues and disclosure matters. Ms. Clinton frequently counsels boards of directors regarding corporate governance issues and director's fiduciary duties and provides advice on regulatory and compliance matters related to financial institutions.
